Welcome to Skiro. These Terms of Service govern your use of the Skiro platform, including our website, dashboard, API, and SDK (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Skiro is operated by Skiro Inc. (“Skiro”, “we”, “us”). When we say “you” or “merchant”, we mean the individual or business that has registered for an account.
1. The Services we provide
Skiro is a payment processing platform that enables merchants to accept card payments from end customers and receive the proceeds as cryptocurrency in a wallet they control. We do not custody merchant funds. We facilitate the conversion and routing through our processing partners, and the converted funds are sent directly to the wallet address you configure on your account.
The Services include the merchant dashboard, REST API, official SDKs, hosted checkout, webhook delivery, and any related developer tools we make available.
2. Eligibility and account creation
To use Skiro, you must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. You are responsible for the accuracy of the information you provide during signup, including your business name, email, and any wallet addresses or banking details.
We may require identity verification (KYC) or business verification (KYB) before allowing certain features, increasing limits, or releasing funds. You agree to provide truthful information and supporting documents when requested.
3. Account security
You are responsible for keeping your account credentials, API keys, and webhook secrets confidential. Anyone with access to those credentials can act on your behalf, including initiating transactions and changing your wallet address. We strongly recommend enabling two-factor authentication and rotating API keys regularly.
If you suspect your account has been compromised, contact us immediately and revoke any affected API keys from your dashboard.
4. Fees and pricing
Our fees are listed on the pricing page and may change from time to time. We will provide reasonable notice of any pricing changes. All fees are deducted from the gross transaction amount before the payout is sent to your wallet. There are no setup fees, monthly minimums on the free plan, chargeback fees, or withdrawal fees.
Paid plans are billed monthly in advance. You can upgrade at any time and the new rate applies immediately to all future transactions. Downgrades take effect at the end of your current billing cycle.
5. Payouts and settlement
Every successful transaction is paid out automatically to the wallet address you configure. We do not hold funds, do not impose minimum payout thresholds, and do not freeze accounts for legitimate activity.
That said, we reserve the right to delay or hold a specific transaction in the following narrow circumstances:
- The transaction is flagged by our fraud detection systems pending a brief manual review.
- We have reasonable suspicion that the transaction violates these Terms or applicable law.
- We receive a chargeback, dispute, or refund request from the cardholder.
- A regulator, court, or law enforcement agency has issued a binding order.
In all cases, we will tell you the reason for the hold and what is needed to resolve it.
6. Prohibited use
You may not use Skiro to process transactions involving any of the following:
- Activity that is illegal under the laws applicable to you, your customer, or Skiro.
- Money laundering, terrorism financing, sanctions evasion, or any activity restricted by OFAC, the EU consolidated sanctions list, or equivalent.
- Sales of prescription drugs, controlled substances, weapons, ammunition, or explosives.
- Child sexual abuse material, non-consensual intimate imagery, or content depicting violence against minors.
- Pyramid schemes, Ponzi schemes, or other unfair or deceptive practices.
- Counterfeit goods, stolen merchandise, or items that infringe intellectual property.
- Unlicensed gambling, lotteries, or sweepstakes where prohibited.
- Activity that exposes Skiro or its processing partners to undue financial, legal, or reputational risk.
A more detailed list of prohibited activities is available in our Acceptable Use Policy. Skiro may update this list at any time.
7. Chargebacks and disputes
When a cardholder disputes a transaction, the issuing bank initiates a chargeback. You authorize Skiro to deduct the disputed amount from future transactions or your wallet balance, plus any associated processor fees, until the dispute is resolved.
We will notify you of any chargeback and provide the information needed to respond. You are responsible for submitting a timely response with supporting evidence. Excessive chargebacks may result in fee adjustments, suspension, or termination of your account.
8. Suspension and termination
You can close your account at any time by contacting support. We may suspend or terminate your account if you breach these Terms, engage in prohibited activity, fail verification, or if continuing to provide Services would expose Skiro to legal or financial risk.
On termination, your right to use the Services ends. We will work with you in good faith to settle any outstanding payouts owed to you, subject to ongoing investigations or chargebacks.
9. Intellectual property
Skiro retains all right, title, and interest in the Services, including the code, design, branding, and documentation. We grant you a non-exclusive, non-transferable license to use the Services for the purpose of accepting payments through Skiro.
You retain all rights to your own content, data, and trademarks. You grant us a limited license to use your business name and logo on your hosted checkout pages, in transaction records, and to display in customer-facing communications related to the payment.
10. Warranties and disclaimers
We provide the Services on an “as is” and “as available” basis. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Cryptocurrency networks are subject to congestion, fork events, and other conditions outside of our control that may affect payout timing.
To the maximum extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, Skiro will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Services.
Our total liability for any claim arising out of these Terms is limited to the greater of (a) the fees you paid to Skiro in the 12 months before the claim arose, or (b) one thousand US dollars ($1,000).
12. Indemnification
You agree to indemnify and hold harmless Skiro, its officers, employees, and partners from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, your violation of any law, or any dispute with your customers.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the dashboard at least 14 days before the changes take effect. Your continued use of the Services after the effective date means you accept the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute will be resolved by binding arbitration in Wilmington, Delaware, except that either party may seek injunctive relief in court for intellectual property matters.
